    Bionade sold: Oetker pins its hopes on Inhouse-Team for takeover

    Radeberger, a subsidiary of the Bielefeld foodstuffs enterprise’s Dr. August Oetker, has joined the soft drink manufacturer Bionade as a majority shareholder. The brewery not only overtook the 51 percent, which the North Hessian Egon Schindel Holding (ESH) had held since 2002, but also overtook shares of both of the other shareholders, the Bionade founders, Peter and Stephan Kowalsky. The brothers, however, will remain part of the management. According to press releases, the price for the ESH shares should be about 20 million Euros. The ESH, to which, among others, the Mineralbrunnen Rhönsprudel, Bad Liebenwerda and Spreequell belong, had commissioned the private bank, Sal. Oppenheim, a long time ago with the search for a new buyer. For a long time, the Bitburger Brauerei was – above all, by the Kowalsky brothers – the preferred buyer. (Geertje Oldermann).

    That Oetker/Radeberger conducted the deal inhouse, does not surprise. Together, the legal departments already successfully shouldered, for example, the sale of a major portion of the water division. In particular, the inhouse department from Oetker is known to be very competent and is set up similar to a partnership?/Kanzlei. Lastly, it accompanies the sale of the insurance group Condor to the R+V Versicherung (R+V Insurance).
    For Waldeck, the ESH is a new mandate, which came about through contacts in the management of the Rhön-Sprudel Group and through investment banks. In addition, Taylor Wessing first became active for Bionade. Bitburger, in contrast, belongs to the long-standing corporate clients of CMS.
